1. Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service.

2. Service Description

Tommodoro provides a productivity application designed to help users manage time and tasks using the Pomodoro Technique, including features like task management, analytics, and customizable settings (the "Service").

3. Accounts and Age Requirement

When you create an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account and for keeping your password secure.

Age Requirement: You must be at least 18 years of age to use the Service. By creating an account and using the Service, you represent and warrant that you are at least 18 years old. If you are under 18, you may not use the Service. We reserve the right to verify your age at any time and to suspend or terminate your account if we determine that you are under 18 years of age.

4. Subscriptions and Payments

Our Service is offered on a subscription basis. All payments are handled by our Merchant of Record, Paddle.com. You agree to pay all applicable fees for the subscription plan you select. 5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Tommodoro. Our trademarks may not be used in connection with any product or service without our prior written consent.

6. User Conduct

You agree not to use the Service for any unlawful purpose or to engage in any activity that could harm, disable, or impair the Service. Prohibited activities include, but are not limited to, reverse engineering, distributing spam, or uploading malicious code.

7. Termination

We may terminate or suspend your account, without prior notice or liability, for conduct that we determine in our sole discretion violates these Terms or is otherwise harmful to other users of the Service, us, or third parties.

8. Disclaimer of Warranties

The Service is provided "AS IS," without warranty of any kind. We do not warrant that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

9. Limitation of Liability

In no event shall Tommodoro, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Service.

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tommodoro and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Service caused damage to a third party.

11. Force Majeure

Neither party shall be liable for any failure to perform its obligations hereunder where such failure is a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, government order or law, actions taken by governmental authorities, or other events beyond the reasonable control of the party affected.

12. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, United States, and the decision of the arbitrator shall be final and binding. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Important Note for International Users: This arbitration clause does not apply to residents of the European Union, United Kingdom, European Economic Area, Switzerland, or other jurisdictions where mandatory arbitration clauses in consumer contracts are prohibited or restricted by law. Users in these jurisdictions retain all statutory rights to bring disputes in their local courts under applicable consumer protection laws.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding relating to these Terms shall be instituted in the state or federal courts of Delaware.

Exception: Nothing in this section limits or excludes any mandatory consumer protection rights that apply to you under the laws of your country of residence. Where such rights conflict with Delaware law, your local mandatory consumer protection laws shall prevail.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

15. Entire Agreement

These Terms constitute the entire agreement between you and Tommodoro regarding the use of the Service, superseding any prior agreements between you and Tommodoro relating to your use of the Service.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this site and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
